Agreement to Terms

These Terms of Service ("Terms") govern your use of the fixture.dev website, our developer tools, our free courseware and documentation, and related services (collectively, the "Services") operated by Fixture Dev, LLC ("Fixture", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Our Services

Fixture builds paid developer tools with free supporting courseware. As of the date above, our Services include:

• Flawd: a commercial developer tool, available under paid licenses and a free 14-day evaluation
• Lash: a free, open-source task manager for coding agents
• fixture.dev: this website, including free courseware and documentation

Evaluation Licenses

We offer time-limited evaluation licenses (currently 14 days for Flawd) so you can decide whether a tool fits your workflow before buying. Evaluation licenses are subject to the following:

• Evaluations are for assessing the product. You may use it on real work during the evaluation period, but continued use after expiry requires a paid license.
• One evaluation per person or organization per product. Requesting additional evaluations with different email addresses to extend free use is not permitted.
• Evaluation licenses are limited to a fixed number of machine activations and expire automatically at the end of the evaluation period.
• Evaluation keys are personal to you; do not share, publish, or resell them.
• We may decline evaluation requests or revoke evaluation licenses that we reasonably believe are abusive or fraudulent.
• Evaluation software is provided as-is, without warranty or support commitments.

Purchases and Commercial Licenses

Paid licenses are sold through Stripe, our payment provider and merchant of record. Stripe handles checkout, payment, invoicing, applicable taxes, and refunds under its own terms of service.

Purchases come with a 30-day money-back guarantee. Contact us from the email address you used at checkout within 30 days of purchase and we will refund you, no reason required. Refund requests made after 30 days are granted at our discretion. When a refund is issued, the associated license key is disabled: it can no longer activate, refresh, or download new releases, and it is not eligible for support.

Your use of a purchased product is governed by the license agreement that accompanies it. If the product license conflicts with these Terms, the product license controls for that product.

Open-Source Software

Some of our software (including Lash) is released under open-source licenses. Your use of that software is governed by the license included in its repository, not by these Terms.

Acceptable Use

You agree not to:

• Violate any applicable laws or the rights of others
• Circumvent, disable, or tamper with license enforcement, evaluation limits, or signed entitlements
• Share, publish, or resell license or evaluation keys
• Probe, overload, or disrupt our website or APIs, or attempt to gain unauthorized access to our systems
• Use automated means to submit forms or scrape the Services in a way that burdens them
• Distribute malware or other harmful code through our Services

Intellectual Property

The Services (including our software, courseware, documentation, logos, and site content) are owned by Fixture Dev, LLC or its licensors and protected by copyright and other intellectual-property laws. Except for rights expressly granted by a product license, an open-source license, or these Terms, no rights are transferred to you.

You may read, link to, and quote our free courseware with attribution. You may not republish it wholesale or present it as your own.

Feedback

If you send us feedback, bug reports, or suggestions, you grant us the right to use them without restriction or compensation. We appreciate them, and we're not going to chase you for a signature first.

Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our tools help you build and test software; you remain responsible for your own code, releases, and backups. Courseware is provided for informational purposes and may not fit your specific situation.

Limitation of Liability

To the fullest extent permitted by law, Fixture Dev, LLC and its members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Services.

Our total liability for any claim relating to the Services will not exceed the amount you paid us in the twelve (12) months before the claim arose (or $50 if you paid nothing).

Indemnification

You agree to indemnify and hold harmless Fixture Dev, LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services.

Suspension and Termination

We may suspend or revoke access to the Services (including evaluation licenses) if you breach these Terms. Where practical, we will tell you why. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) survive termination.

Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in New Mexico.

Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here and change the "Last updated" date; material changes will also be announced to the mailing list. Continued use of the Services after changes take effect constitutes acceptance.
